Terms of Service for Unitus.ai, Inc.

Welcome to Unitus.ai, Inc. (“Unitus”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our services, including the Unitus platform and any related software (collectively, “Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. About Unitus: The Ultimate Copilot for SDRs and AEs

Unitus is designed to help Sales Development Representatives (SDRs) and Account Executives (AEs) overcome the challenges of outbound engagement. Our platform provides in-depth, accurate prospect and account information to help sellers craft personalized outreach, build business cases, and drive positive engagement.

2. Services Provided

Unitus provides the following key services to help sales professionals:

• Prospect and Account Information: Comprehensive insights into prospects, job postings, earnings summaries, news, tech stack analysis, podcast quotes, and more.
• Accurate Contact Information: Real-time, highly accurate mobile data and contact verification.
• Customizable Messaging: Proven messaging frameworks that are 100% customizable to enhance outreach.

By using Unitus, you will have access to these features that help you conduct more relevant, productive, and intentional sales outreach.

3. Software

Some of our Services may include downloadable client software ("Software"). This Software may update automatically. Subject to your compliance with these Terms, Unitus grants you a limited, nonexclusive, nontransferable, revocable license to use the Software solely to access the Services.

You agree not to reverse engineer, decompile, or attempt to assist anyone in doing so, unless expressly permitted by law. If any Software component is offered under an open-source license, we will provide the appropriate license terms, which may override some of these Terms.

4. Modifications to Features and Pricing

We continuously enhance and adapt our Services. From time to time, we may make changes to the features of our free and paid plans, or adjust the pricing of our Services. Such changes will reflect improvements to our product, shifts in business needs, or other considerations.

• You will be notified of any significant price changes or modifications to features via email at least 30 days in advance.
• If you do not agree with these changes, you may cancel or adjust your subscription before the new terms take effect.
• Continued use of our Services after the notice period constitutes acceptance of the updated terms.

5. Marketing

By creating an account with Unitus, you grant us a perpetual, worldwide license to use your company’s name and logo for marketing purposes. This includes listing you as a customer on our website and other marketing materials. You may revoke this license at any time by contacting us via email at Support@unitus.ai.

6. Third-Party Features

Our Services may include links or integrations to third-party tools or features. These third-party features are not owned or operated by Unitus. If you choose to access or use third-party features, you do so at your own risk, and we are not responsible for the availability, accuracy, or any other aspect of these third-party services.

7. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and protect data related to the performance of our products and Services.

8. Termination

You may stop using our Services at any time. We reserve the right to suspend or terminate your access to the Services with notice if we reasonably believe:

• You are in breach of these Terms.
• Your use of the Services poses a risk of harm or loss to us or other users.
• You have not accessed our Services for 12 consecutive months if you do not have a paid account.

9. Limitation of Liability

To the fullest extent permitted by law, Unitus will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability under these Terms is limited to the amount you paid for the Services in the 12 months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Unitus, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, or expenses arising out of your use of the Services or your violation of these Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Indianapolis, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Hancock County, Indiana for any disputes arising out of or relating to these Terms.

12. Changes to These Terms

Unitus reserves the right to modify or update these Terms at any time. We will provide notice of material changes by posting an updated version on our website or by sending you an email notification. Your continued use of the Services after such changes will constitute your acceptance of the new Terms.
